1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Artwell LLC ("Artwell," "we," "us," or "our") governing your use of the Artwell website located at artwell.ai (the "Site") and our services (the "Services").

By accessing or using our Site or Services, you agree to be bound by these Terms. If you disagree with any part of these terms, you do not have permission to access the Site or use our Services.

2. Use of Our Services

Eligibility

  • You must be at least 13 years old to use our Services
  • If you are under 18, you must have parental or guardian consent
  • You must provide accurate and complete information
  • You must not be prohibited from using our Services under applicable laws

Account Responsibilities

When our Services launch and you create an account, you agree to:

  • Provide accurate, current, and complete information
  • Maintain the security of your password and account
  • Promptly notify us of any unauthorized access or security breach
  • Accept responsibility for all activities under your account
  • Not transfer your account to another person without our consent

    • Prohibited Uses

    You agree not to:

  • Infringe upon or violate our intellectual property rights or the rights of others
  • Transmit any viruses, worms, defects, Trojan horses, or destructive items

  • Use our Services to create deepfakes or impersonate others
  • Generate content that is harmful, offensive, or violates third-party rights
  • Reverse engineer, decompile, or disassemble any aspect of our Services
  • Use automated systems or software to extract data from our Services
  • Resell or commercially exploit our Services without authorization
  • Harass, abuse, threaten, or incite violence against any individual or group

    • 3. Intellectual Property Rights

    Our Intellectual Property

    The Site and Services, including all content, features, functionality, software, and the Artwell brand elements (including logos, trademarks, and service marks), are owned by Artwell LLC and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

    Limited License to Use

    We grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for your personal or internal business purposes in accordance with these Terms.

    Your Content

    When our Services launch, you will retain all rights to any content you create, upload, or transmit through our Services ("User Content"). By using our Services, you grant Artwell:

  • A worldwide, non-exclusive, royalty-free license to use, process, store, and display your User Content solely to provide the Services to you
  • The right to use aggregated and anonymized data derived from your use of the Services for improvement and analytics

    • Feedback

    Any feedback, suggestions, ideas, or other information you provide about our Services ("Feedback") will be deemed non-confidential and non-proprietary. We shall have the unlimited right to use such Feedback without compensation to you.

    4. AI Services and Disclaimers

    Nature of AI Services

    When our Services launch, they will utilize artificial intelligence and machine learning technologies. You acknowledge and agree that:

  • AI-generated content may contain errors, inaccuracies, or unexpected results
  • We do not guarantee the accuracy, completeness, reliability, or usefulness of AI-generated content
  • AI outputs are probabilistic and may vary even with identical inputs
  • You are solely responsible for reviewing, verifying, and approving any AI-generated content before use

    • No Professional Advice

    Our Services do not provide legal, medical, financial, or other professional advice. Any content generated should not be relied upon as a substitute for professional consultation.

    Human Oversight Required

    You agree to maintain human oversight and review of all AI-generated content, especially for sensitive, regulated, or high-stakes applications.

    5. Payment Terms

    When our paid Services launch:

  • All fees are due in advance and are non-refundable except as required by law
  • We may change our fees upon 30 days' notice
  • You are responsible for all applicable taxes
  • Failure to pay may result in suspension or termination of Services

    • 6. Privacy

    Your use of our Services is also governed by our Privacy Policy, available at artwell.ai/privacy. By using our Services, you consent to our collection and use of your information as described in the Privacy Policy.

    7. Disclaimers and Warranties

    "As Is" and "As Available"

    OUR SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

    Disclaimer of Warranties

    WE SPECIFICALLY DISCLAIM ALL IMPLIED WARRANTIES OF:

  • MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • TITLE
  • NON-INFRINGEMENT
  • ACCURACY OR RELIABILITY OF INFORMATION

    • No Guarantee

    We do not guarantee that our Services will:

  • Meet your requirements or expectations
  • Be uninterrupted, timely, secure, or error-free
  • Produce accurate or reliable results
  • Be free from viruses or other harmful components

    • 8. Limitation of Liability

    Maximum Liability

    TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARTWELL'S TOTAL LIABILITY FOR ANY CLAIMS UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF $100 OR THE AMOUNTS PAID BY YOU TO ARTWELL IN THE PAST TWELVE MONTHS.

    Exclusion of Damages

    IN NO EVENT SHALL ARTWELL BE LIABLE FOR ANY:

  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • LOSS OF PROFITS, REVENUE, DATA, OR USE
  • BUSINESS INTERRUPTION
  • COST OF SUBSTITUTE SERVICES
  • DAMAGES ARISING FROM YOUR USE OR INABILITY TO USE THE SERVICES
  • DAMAGES ARISING FROM ANY CONTENT OBTAINED FROM THE SERVICES
  • DAMAGES ARISING FROM UNAUTHORIZED ACCESS TO YOUR DATA

    • Basis of the Bargain

    YOU ACKNOWLEDGE THAT ARTWELL HAS OFFERED ITS SERVICES IN RELIANCE UPON THE LIMITATIONS OF LIABILITY SET FORTH HEREIN AND THAT THE SAME IS AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN US.

    9. Indemnification

    You agree to defend, indemnify, and hold harmless Artwell LLC, its affiliates, and their respective officers, directors, employees, agents, and representatives from and against any claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of and access to the Services
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Any User Content you post, upload, or transmit
  • Any harm caused by your use of AI-generated content
  • Your violation of any applicable laws or regulations

    • 10. Termination

    Termination by You

    You may stop using our Services at any time. Account deletion requests can be submitted through our Contact page.

    Termination by Us

    We may terminate or suspend your access to our Services immediately, without prior notice or liability, if:

  • You breach any provision of these Terms
  • We are required to do so by law
  • We discontinue the Services
  • We believe your conduct may harm us or other users

    • Effect of Termination

    Upon termination:

  • Your right to use our Services will immediately cease
  • We may delete your account and User Content
  • All provisions of these Terms that should survive termination will remain in effect

    • 11. Dispute Resolution

    Informal Resolution

    Before filing any legal claim, you agree to try to resolve disputes informally by contacting us through our Contact page.

    Binding Arbitration

    If we cannot resolve a dispute informally, all disputes shall be resolved through binding arbitration under the rules of the American Arbitration Association, except you may assert claims in small claims court if eligible.

    Class Action Waiver

    YOU AGREE THAT DISPUTES WILL BE RESOLVED SOLELY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

    12. General Provisions

    Governing Law

    These Terms shall be governed by the laws of Washington State, United States, without regard to conflict of law principles.

    Entire Agreement

    These Terms, together with our Privacy Policy, constitute the entire agreement between you and Artwell regarding the use of our Services.

    Severability

    If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

    Waiver

    No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term.

    Assignment

    You may not assign or transfer these Terms without our prior written consent. We may assign our rights under these Terms without your consent.

    Force Majeure

    We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control.

    13. Changes to Terms

    We reserve the right to modify these Terms at any time. We will provide notice of material changes by:

  • Posting the updated Terms on our Site
  • Updating the "Last Updated" date
  • Providing notice through the Services or via email

    • Your continued use of our Services after changes become effective constitutes acceptance of the revised Terms.
